Terms & Conditions

1. Definitions

"We/Us/Our" means BRW Solutions Ltd T/A The Library Company.

"You/Your" means the customer (school, academy, MAT, local authority, or organisation purchasing services).

"Services" means design, supply, delivery, installation, consultancy, and any associated works.

"Goods" means shelving, furniture, materials, and products supplied by us.

 

2. Services Provided

2.1 We provide library design services, including conceptual layouts and shelving design.

2.2 We supply and install shelving and associated products, using subcontractors where necessary.

2.3 We may engage external companies to provide specialist services.

2.4 Consultancy is limited to library shelving design unless otherwise agreed in writing.

 

3. Quotations & Scope

3.1 Quotations remain valid for the date range stated.

3.2 Quotations are based on the information provided at the time.

3.3 Changes to measurements, access, layout, scope, or materials may result in a price adjustment.

3.4 Any changes requested after acceptance will be charged at our standard rates.

 

4. Payment Terms

4.1 A 50% non-refundable deposit is required to secure materials, design, and installation scheduling.

4.2 The remaining balance is payable on completion.

4.3 Additional services (e.g., design-only work, extra labour, variations) are payable on completion unless otherwise agreed.

4.4 Late payments may incur interest under the Late Payment of Commercial Debts (Interest) Act 1998 (8% + Bank of England base rate).

4.5 We may suspend work if payment terms are not met.

4.6 All Goods remain our property until paid in full.

 

5. Cancellation Policy

5.1 Once the deposit is paid and materials are ordered, the order cannot be cancelled.

5.2 The deposit covers design, administration, scheduling, subcontractor commitments, and materials, and is therefore non-refundable.

5.3 Cancellations after production starts or installation dates are agreed will incur the full contract value.

 

6. Customer Responsibilities

You agree to:

6.1 Clear the installation area of furniture and obstacles.

6.2 Complete electrical, decorating, flooring, and remedial works at least one day before installation.

6.3 Provide safe access, parking, and suitable working conditions.

6.4 Ensure staff, pupils, and visitors do not interfere with the installation.

6.5 Obtain any necessary permissions, building control checks, or fire safety approvals.

 

7. Delivery, Installation & Variations

7.1 Dates are estimates and may change due to supplier or subcontractor availability.

7.2 We will manage subcontractors with reasonable care but are not liable for delays outside our control.

7.3 If site conditions differ from those described, pricing may be adjusted accordingly.

 

8. Warranty

8.1 Shelving products include a 10-year warranty against defects under normal use.

8.2 Exclusions: misuse, vandalism, improper installation by third parties, modifications after installation, water damage, or building structural issues.

8.3 We will repair or replace defective items at our discretion.

8.4 Third-Party Products

Some designs may include products supplied by third-party companies, such as stools, wallpaper, or carpet. While we can arrange the supply and installation of these items, they are not covered under The Library Company's warranty or Terms & Conditions. Any warranty, guarantee, or liability for defects or performance rests solely with the original manufacturer or supplier.

We will provide guidance on the supplier's warranty and help coordinate any issues, but responsibility for resolution remains with the 

third-party supplier.

 

9. Fire Safety, Compliance & Professional Limitations

9.1 Designs are conceptual only and do not constitute fire safety assessments, structural surveys, or architectural advice.

9.2 Customers must ensure compliance with fire safety regulations and building control requirements.

9.3 We accept no liability for non-compliance arising from the customer's responsibilities.

 

10. Electrical Work & Canopy Lighting

10.1 Some shelving installations include canopies with downlighters requiring connection to mains power. We do not carry out electrical work.

10.2 All electrical work must be completed by a qualified electrician in accordance with BS7671 and school/local authority standards.

10.3 Design plans may identify electrical outlets or cabling that could be obstructed or require relocation; it is the customer's responsibility to manage these adaptations.

10.4 Temporary access to sockets or cabling may be provided on installation day where practical. Additional access required afterward will incur a charge.

10.5 We will not move, disconnect, isolate, or interfere with electrical components.

10.6 It is the customer's responsibility to ensure all electrical work is completed safely and in compliance with regulations.

10.7 We accept no liability for delays or non-compliance caused by customer-managed electrical work.

 

11. Liability & Indemnity

11.1 Limitation of Liability: Our total liability is limited to the total price paid for the Services. We are not liable for indirect losses, delays caused by third parties, site access issues, or pre-existing building defects.

Nothing in these terms limits our responsibility if someone is injured or dies as a result of our negligence or dishonesty.

11.2 Customer Indemnity: You agree to indemnify us against claims, losses, or damages arising from unsafe sites, inaccurate information, site delays, interference by staff/pupils/contractors, or regulatory failures beyond our scope.

11.3 Public Liability Insurance: We hold valid public liability insurance covering accidental damage or injury arising from our work on your premises. Proof of insurance is provided in our pre-installation pack and is available on request.

 

12. Termination

12.1 We may terminate immediately only if site conditions pose safety risks or if the project is unreasonably delayed by more than 30 days.

12.2 Upon termination, all work completed and any ordered materials are payable in full. Deposits remain non-refundable.

12.3 You may terminate only if we materially breach the contract and fail to remedy it within 30 days of written notice.

 

13. Dispute Resolution

13.1 Parties will attempt to resolve issues in good faith.

13.2 If unresolved within 14 days, disputes may be referred to mediation, with costs shared equally unless agreed otherwise.

13.3 Arbitration is optional and requires mutual agreement.

13.4 Either party may seek urgent legal relief if necessary.

 

14. Governing Law

These Terms are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction.

 

15. Acceptance

By paying the deposit, signing the quotation, or permitting work to begin, you confirm acceptance of these Terms & Conditions.

By engaging our services, you confirm that you have read, understood, and agreed to these Terms & Conditions.
